Artist & Label Terms & Conditions

This Artist & Label Distribution Agreement (“Agreement”) is entered into between ASG DIGITAL, a digital music distribution platform operated from Mumbai, Maharashtra, India, powered by STORM X MEDIA (“Distributor”, “we”, “us”, “our”) and the individual artist, band, producer, or legal entity registering on the platform (“Artist”, “Label”, “You”).

By uploading content or using ASG DIGITAL’s services, you agree to be legally bound by this Agreement.

1. Purpose of the Agreement

This Agreement authorizes ASG DIGITAL to distribute your sound recordings and related content worldwide on a non-exclusive basis. ASG DIGITAL does not acquire ownership of your music.

2. Ownership & Rights

2.1 Ownership

• You own or control 100% of all rights in submitted content
• No ownership rights are transferred to ASG DIGITAL

2.2 Rights You Grant

• Distribute, stream, transmit, and monetize content
• Deliver content to third-party DSPs
• Store, encode, and process content
• Use artist name, artwork, and metadata for promotion

3. Non-Exclusive Relationship

• You may distribute content elsewhere
• No exclusivity is created
• You may sign with other labels or distributors

4. Artist & Label Responsibilities

• Full legal authority to enter this Agreement
• All content is original or properly licensed
• All collaborators have been cleared
• No unauthorized samples or third-party material
• Accurate metadata and lawful content

5. Royalties & Payments

• Royalties depend on DSP reports
• No guarantee of earnings
• Payout thresholds may apply
• Taxes and fees are your responsibility

6. Content Review & Rejection

ASG DIGITAL may reject, remove, or suspend content or accounts that violate platform or DSP policies. DSPs have final authority.

7. Takedowns & Termination

• You may request takedowns anytime
• Takedown timelines are not guaranteed
• No refunds for takedowns
• Agreement may be terminated for breach or risk

8. Indemnification

You agree to indemnify ASG DIGITAL and STORM X MEDIA from claims arising from rights infringement, breaches, or misuse of the platform.

9. Limitation of Liability

ASG DIGITAL is not liable for lost revenue, DSP delays, or indirect damages. Liability shall not exceed fees paid in the previous 12 months.

10–13. Confidentiality, Relationship, Law & Amendments

Confidential information must be protected. This Agreement does not create employment or partnership. Governed by Indian law with Mumbai jurisdiction. Updates may be published on the website.
